MatiDZ’s Forge Terms of Use and Conditions

Important Notice:
By accessing, downloading, purchasing, or using any digital assets, services, or products provided by MatiDZ’s Forge (hereinafter “MatiDZ’s Forge,” “we,” “us,” or “our”), you (hereinafter “you” or “User”) agree to be bound by these Terms of Use and Conditions (“Terms”). If you do not agree with any part of these Terms, you must immediately cease using our assets and services. Failure to abide by these Terms may result in termination of access, legal action, and/or other remedies available under U.S. and international law.

1. Introduction

MatiDZ’s Forge is a provider of premium digital assets and related services for Grand Theft Auto V (“GTA V”), FiveM, and similar platforms. The digital assets we offer (collectively, “Assets”) include, but are not limited to: pins, uniforms, textures, 3D models, scripts, documentation, designs, and related files or media—whether distributed free of charge or offered for purchase.

Official Distribution Platforms (collectively, “Authorized Channels”):

Use of our Assets through any channel not explicitly mentioned above is unauthorized and may violate these Terms.

2. License Scope and Permitted Use

2.1 Permitted Use

  1. Non-Commercial Use

    • GTA V-Related Projects: You may use our Assets in non-profit creations, such as roleplay servers (including FiveM), live streams, videos, and personal projects.
    • Asset Modification: You may alter or modify our Assets (e.g., recoloring, design adjustments) provided such modifications do not conflict with the restrictions set forth in Section 2.2.
    • Inclusion in Free Distribution Packages: You may include our Assets in free distribution packages (only for Free assets) (e.g., resource packs for FiveM) if all restrictions on redistribution (see Section 2.2) and intellectual property rights requirements are met.

  2. Unlocked Models

    • Requests for Unlocked Versions: Users may request unlocked versions of free Assets via our official channels (Patreon, Discord, or our Website), but only if the Assets in question are distributed free of charge. This does not apply to paid Assets.

2.2 Prohibited Use

  1. Commercial Exploitation

    • Strictly Prohibited: You may not sell, lease, sublicense, or monetize the Assets—whether individually or in bundles—on any marketplace (e.g., Tebex, Gumroad, etc.), or use them in paid projects, subscription-based servers, or any other commercial venture.

  2. Unauthorized Redistribution

    • Strictly Prohibited: You may not share, distribute, or make the Assets available on any third-party platform or channel without explicit written consent from MatiDZ’s Forge.

  3. Use in Illegal or Harmful Content

    • Strictly Prohibited: You may not use the Assets in projects promoting racism, hate speech, discrimination, or any illegal activities, including but not limited to violations of local, state, federal, or international laws.

  4. Circumvention of Digital Rights Management (DRM)

    • Strictly Prohibited: You may not decompile, reverse-engineer, tamper with, or otherwise circumvent any DRM or asset protection mechanisms, including FiveM’s Asset Escrow system or any similar protective technology.

3. Intellectual Property Rights

3.1 Ownership

All products, designs, models, textures, scripts, documentation, and associated files provided by MatiDZ’s Forge are the exclusive intellectual property of MatiDZ’s Forge. Any rights not expressly granted to you under these Terms are reserved by MatiDZ’s Forge.

3.2 License Grant

Upon downloading or purchasing any Asset, you receive a limited, non-exclusive, non-transferable, and revocable license to use the Asset solely for its intended purpose within GTA V, FiveM, or other expressly authorized environments. This license does not convey ownership and remains subject to the conditions set forth in these Terms.

3.3 License Restrictions

You agree not to:

  1. Redistribute or Resell

    • Prohibition: Sell, lease, sublicense, or otherwise redistribute the Assets in any form, including online marketplaces or file-sharing platforms.

  2. Unauthorized Modification

    • Prohibition: Modify, adapt, or reverse-engineer the Assets for purposes beyond personal or otherwise authorized use.

  3. Bypass Security Measures

    • Prohibition: Attempt to bypass, disable, or tamper with any DRM systems safeguarding our Assets, including FiveM’s Asset Escrow system.

3.4 Creative Commons Protection

All free products from MatiDZ’s Forge are additionally protected under the Creative Commons Attribution-NonCommercial-ShareAlike 4.0 International (CC BY-NC-SA 4.0) License.

4. Payment, Refunds, and Chargebacks

4.1 Payment Terms

  1. Transaction Completion

    • All transactions must be completed in full via authorized payment processors (e.g., PayPal, Stripe) before gaining access to any purchased Asset.

  2. Security Assurance

    • MatiDZ’s Forge does not store sensitive payment information. All transactions are processed securely and in compliance with applicable payment industry standards.

4.2 Refund Policy

Refunds are generally not provided, except in specific cases:

  1. Defective Assets

    • If an Asset is demonstrably defective and does not function as advertised, you may be eligible for a refund.

  2. Technical Transaction Errors

    • In the event of a duplicate transaction or similar technical error, a refund may be issued upon review.

Initiating a chargeback or dispute without first contacting MatiDZ’s Forge and attempting to resolve the issue in good faith is considered an unauthorized dispute and will result in:

5.1 License for Free Assets

All free Assets distributed by MatiDZ’s Forge—whether via Patreon, LSPDFR, or any other Authorized Channel—are subject to these Terms and are intended for non-commercial, personal use only.

5.2 Restrictions on Free Assets

You may not redistribute, resell, or otherwise use free Assets for any commercial purpose, unless explicitly authorized in writing by MatiDZ’s Forge.

6. Support, Updates, and Maintenance

6.1 Product Updates

MatiDZ’s Forge may periodically release updates or patches to improve functionality, performance, or compatibility of its Assets. Access to updates may require:

    • Basic support (installation assistance, troubleshooting, and documentation clarifications) is provided for paid Assets.

    • Provided strictly “as-is” and do not generally include official support.

By using our Assets or services, you represent and warrant that:

  1. You are at least 18 years of age or possess the necessary parental or guardian consent.
  2. You are legally permitted to enter into this agreement under any applicable law.
  3. You will not use our Assets for any unlawful purpose or in violation of these Terms.

7.2 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved as follows:

  1. Arbitration
    • Disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).
  2. Court Jurisdiction
    • If arbitration is not feasible, disputes shall be submitted to the federal or state courts located within the United States, and you consent to personal jurisdiction in such courts.

8. Disclaimer of Warranties and Limitation of Liability

All Assets and services are provided “as-is” and “as-available” without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. MatiDZ’s Forge does not guarantee that the Assets will meet your requirements or operate without interruption or error.

8.2 Limitation of Liability

To the fullest extent permitted by law, MatiDZ’s Forge shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with:

9. DMCA Notice and Intellectual Property Protection

If you believe that your intellectual property rights have been infringed by content provided by MatiDZ’s Forge, please submit a DMCA notice containing:

  1. Identification of the copyrighted work you claim has been infringed.
  2. A description of the infringing material and its location (URL or specific platform).
  3. Your contact information (full name, email address, telephone number).
  4. A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

10. Prohibited Activities

By using the Assets and services of MatiDZ’s Forge, you agree not to:

  1. Violate Laws

    • Use the Assets in any manner that violates local, state, federal, or international laws.

  2. Engage in Fraudulent or Malicious Conduct

    • Perform hacking, fraudulent activity, or other malicious acts using or in connection with our Assets.

  3. Redistribute or Resell Without Authorization

    • Distribute, resell, or share our products outside of the restrictions allowed in these Terms.

  4. Create or Operate Illegal Servers

    • Use the Assets to build or operate illegal game servers or other unlawful content.

11. Amendments to the Terms

MatiDZ’s Forge reserves the right to modify, amend, or update these Terms at any time, with or without prior notice. Any such changes will be effective immediately upon posting the revised Terms on our Website or other Authorized Channels. Your continued use of the Assets after any modifications signifies your acceptance of the updated Terms.
